  • Good News from MCA – CCFS-2026 Announced
The Ministry of Corporate Affairs (MCA) has announced the Companies Compliance Facilitation Scheme (CCFS-2026) — a major relief opportunity for companies with pending ROC filings.
Under this scheme, companies can complete previous ROC filings by paying only 10% of the applicable additional penalty fees (normal filing fees will still apply). This is a limited-time opportunity to regularize compliance at a significantly reduced cost and secure conditional statutory immunity.

Scheme Period

Start Date: 15 April 2026
End Date: 15 July 2026
As per MCA General Circular No. 01/2026 dated 24.02.2026.
All filings must be completed within this window to avail the scheme benefits.

What Relief Does CCFS-2026 Offer?

1. File Pending ROC Returns with Just 10% Additional Penalty

Companies can file overdue annual returns (MGT-7/MGT-7A) and financial statements (AOC-4 variants) by paying only 10% of the applicable additional penalty amount. Normal statutory filing fees remain payable.

2. Apply for Dormant Status at 50% Government Fee

Inactive companies may apply for Dormant Status (MSC-1) by paying only 50% of the normal government filing fee. This helps preserve legal identity while reducing compliance requirements.

3. Voluntary Strike-Off at 25% Government Fee

Companies that have permanently ceased operations may file Form STK-2 for voluntary strike-off at only 25% of the normal government fee under this scheme.

Statutory Immunity – Important Clarification

Immunity is available if:

  • Filings are completed before issuance of adjudication notice, OR
  • Filings are completed within 30 days from the date of notice.

Immunity is not automatic and may not apply where adjudication orders have already been passed.

Who Should Take This Opportunity?

  • Companies with pending annual returns or financial statements
  • Inactive companies seeking dormant status
  • Companies planning voluntary strike-off
  • Directors concerned about compliance notices
  • Startups with early-stage filing delays

Step-by-Step Process to Avail CCFS-2026

  1. Conduct a compliance review to identify pending filings.
  2. Prepare financial statements and required statutory documents.
  3. Select appropriate forms (AOC-4, MGT-7, MSC-1, STK-2).
  4. File within the scheme window (15 April 2026 – 15 July 2026).
  5. Pay applicable reduced additional fees.
  6. Ensure eligibility conditions are met to claim immunity.

Common Mistakes to Avoid

  • Waiting until the last week to file
  • Submitting incorrect financial data
  • Ignoring notice timelines
  • Assuming immunity without meeting eligibility conditions
